LLC Annual Reports now required to be filed with Secretary of State
Jackson, MS—Limited Liability Company (LLC) Annual Report may now be filed under the Business Services tab of the Secretary of State’s website at www.sos.ms.gov . This is the first year LLCs are required to file an annual report and there is no fee to Mississippi LLC’s to file.
“Requiring LLCs to file annual reports is a boost to consumer confidence in the State,” says Secretary of State Delbert Hosemann. “Before the LLC annual report requirement was enacted, individuals could simply operate in the State by filing the initial formation documents and paying a filing fee. The Secretary of State’s Office had almost 100,000 initial LLC filings. Now, all citizens will know which LLC’s are properly registered to do business in the State and who is doing business in Mississippi.”
All LLC annual reports must be received by the Secretary of State’s Office no later than April 15, 2011. LLCs which do not timely file their annual report may be administratively dissolved.

LLCs will need their company’s business identification number to submit their annual report. The business identification number may be found on the Secretary of State’s website as well.
Mississippi LLC’s do not have to pay filing fee with their annual report. However, “foreign” or out-of-state LLCs must submit a $250 filing fee with their annual report.
